Terms of Service
These Terms of Service (“Terms”) apply to all services provided by Colletti Tech, LLC (herein “Colletti Tech”, “we,” “our,” or “us”), including but not limited to IT support, networking, managed services, and consultation services. By accessing or using our website and services, you (“Client”, “Customer”, “you”, or “your”) agree to these Terms as follows:
3. Services Provided
Colletti Tech provides a range of IT services, including, but not limited to:
- Service Desk Support
- Network Configuration & Management
- Managed IT Services
- Cloud Solutions
- Microsoft 365
- Unified Communications
Our service offerings may be updated from time-to-time.
4. Use of Services
You agree to use our services for lawful purposes only. You shall not:
- Engage in any activity that may disrupt or interfere with our services.
- Use our services to infringe on any third-party rights.
- Attempt unauthorized access to our systems, software, or data.
To use our services, you must be at least 18 years old and capable of entering into a legally binding agreement. By using our services, you confirm that you meet these eligibility requirements.
5. Availability of Services
We strive to ensure continuous availability of our services. However, we do not guarantee that the services will be uninterrupted, secure, or error-free at all times. Scheduled maintenance and other factors may affect availability.
6. Responsibilities of Customer
You are responsible for providing accurate information and timely access required for us to provide the services. This includes:
- Ensuring the availability of necessary IT infrastructure.
- Providing access to necessary systems.
- Promptly notifying us of any service issues or requirements.
7. Confidentiality
We will protect the confidentiality of your data in accordance with our Privacy Policy. However, we cannot be responsible for any data breaches beyond our control, including those caused by third parties or other entities outside of our influence.
8. Terms of Payment
Unless otherwise agreed in writing, services provided by Colletti Tech are billed with payment due upon receipt. Other payment terms may be offered to eligible accounts if a separate agreement is signed.
9. Termination of Agreement
Either party may terminate the service agreement with [insert notice period] written notice. Colletti Tech reserves the right to terminate services immediately if the Client breaches these Terms or engages in unlawful activity. Termination of services will also occur if:
(a) The Client fails to make timely payments;
(b) There is misuse or abuse of our services; or
(c) The Client engages in behavior that disrupts or interferes with Colletti Tech’s ability to provide services.
10. No International Use
Colletti Tech’s services are intended for use only within United States of America. Any use of our services outside this area is considered out of scope, and Colletti Tech will not be obligated to provide support, nor can we guarantee service availability or compliance with laws and regulations outside our service region.
11. Scope of Support
Whereas the subject matter of technical support, incident reports, and service requests (collectively “support, incident, and service”) exists, you the user hereby accept and agree to this Statement of Support (“Scope of Support and Support Scope”). If no written contractual agreement exists between Colletti Tech and the User, or if such technical support is out-of-scope, it shall be agreed that Colletti Tech has no obligation to provide support. Additionally, the following circumstances are out-of-scope and without support:
(a) For use of an Operating System (“OS”) or Server Operating System (“Server OS”);
(b) For any issue that is resolved by upgrading hardware or software to the then-current version;
(c) For your use of third-party products or services and their effects and interactions;
(d) For your use of a computer or OS that is not related to consumer software or to connectivity issues with the covered equipment, products, and services;
(e) For hardware or software other than the authorized consumer hardware and software;
(f) For any hardware, software, and service not designated as “production”;
(g) To any user whose account is not in good standing;
(h) For damage to, unauthorized access to, theft of, or loss of any hardware, software, or data that was residing or recorded on the equipment or products (Colletti Tech does not cover the recovery or reinstallation of software programs and user data); and
(i) For your use of services or products from affiliates, distributors, manufacturers, vendors, and suppliers in such a manner inconsistent with its intended usage, expressed purpose, terms, conditions, or where use is unlawful or prohibited.
You hereby agree that Colletti Tech under no circumstances shall have an obligation of support in the event of data error, loss, theft, compromise, or corruption. Upon submission or request for support that is out-of-scope, YOU HEREBY AGREE TO PAY ALL COSTS AS BILLED AND THAT COLLETTI TECH IS NOT RESPONSIBLE FOR ANY DAMAGES, ERROR, LOSS, THEFT, OR COMPROMISE OF DATA STORED ON YOUR PRODUCT(S) AND SERVICE(S). AS YOUR RESPONSIBILITY, YOU AS THE USER ACCEPT FULL LIABILITY AND OBLIGATION TO BACKUP, COPY, AND TRANSFER YOUR DATA WHICH IS AT YOUR OWN WILL AND YOUR OWN RISK.
12. Refunds and Cancellations
Refunds are based on our [Refund Policy] and [Subscription Licensing & Cancellation Policy]. Please review these policies for detailed information on the circumstances under which refunds may be provided, as well as conditions for subscription cancellation.
13. Limitation of Liability
To the extent permitted by law, Colletti Tech shall not be liable for any direct, indirect, incidental, or consequential damages resulting from the use or inability to use our services, including but not limited to loss of profits, data, or business interruption.
14. Indemnification
You agree to indemnify and hold harmless Colletti Tech, its officers, employees, and agents from any claims, damages, losses, liabilities, or expenses arising from your use of our services or your violation of these Terms.
15. Choice of Law
Terms shall be governed by and construed in accordance shall be interpreted pursuant to the laws and statues of the Commonwealth of Pennsylvania of the United States of America.
16. Amendment of Terms
Colletti Tech may amend these Terms at any time which shall be effective upon publishing on our website. Continued use of our services after such amendment constitutes your acceptance of the amended Terms.
